Nuvei plans to acquire Payoneer for US$2.7 billion. What are the prospects for business integration?

近日,加拿大支付服务商Nuvei正与跨境支付企业Payoneer派安盈展开深度收购谈判,交易作价约27亿美元。本文将深入分析此次收购的背景、业务互补性以及可能面临的监管问题。

On June 9, 2026, Reuters reported that the Canadian payment service provider Nuvei is entering into in-depth acquisition negotiations with the cross-border payment company Payoneer Global. The transaction price is approximately US$2.7 billion, including the target party’s cash, corresponding to an enterprise value of approximately US$2.3 billion.
According to the plan, the two parties are expected to formally sign the acquisition agreement in the next few days. However, there are still variables in the current negotiations, and it is uncertain whether the transaction will finally be implemented.
As of now, neither the companies involved nor the relevant investors have commented on the news.

Affected by the news, Payoneer’s stock price rose 24% that day.
Headquartered in Montreal, Nuvei specializes in global merchant payment processing, risk management and other services. In 2024, the company completed its privatization under the leadership of Advent International, Novacap and the Canadian investment group CDPQ. Since then, it has continued to expand its business territory through mergers and acquisitions.
Payoneer, the target of this proposed acquisition, is headquartered in New York. It focuses on serving freelancers, online sellers and small, medium and micro enterprises. It is deeply involved in the field of cross-border transactions and has accumulated customers from leading e-commerce platforms such as Amazon, Walmart and eBay.
Before the transaction was reported, Payoneer’s market value was approximately US$1.7 billion, and there was a significant premium in the valuation of this acquisition.

From a business perspective, the two companies are highly complementary.
Nuvei is good at providing collection services for merchants, while Payoneer has a mature cross-border remittance network. After the integration of the two, they will form a complete closed loop of collection and payment.
Relying on Payoneer’s huge customer base in emerging markets, Nuvei will also further expand its influence in overseas markets.

Financial report data shows that Payoneer’s revenue in 2025 will reach US$1.05 billion, a year-on-year increase of 8%. However, affected by declining interest income and increased operating costs, net profit fell 40% year-on-year to US$73.2 million.
At the same time, the company’s business has been greatly disturbed by the international trade situation, with customers in Greater China accounting for 34% of its revenue, and geographical factors have brought continued uncertainty.

Prior to this, in May 2025, there was news that Payoneer was being sold, but it was officially denied that “the company does not have any sales plans.” It also stated that Greater China is one of Payoneer’s most important markets. Payoneer is confident in the long-term development prospects of the business and will continue to expand its talent team to fully support the development of Chinese customers.

It is worth mentioning that in April 2025, Payoneer officially announced that it had obtained Chinese regulatory permission, completed the acquisition of Yilian Payment Co., Ltd., a licensed payment institution, and obtained the Chinese payment license.
This approval also allowed Payoneer to transform from a Chinese foreign-funded operating entity into a local financial services provider.

According to the requirements of the “Regulations on the Supervision and Administration of Non-bank Payment Institutions”, changes in major shareholders or actual controllers of payment institutions need to be approved by the People’s Bank of China.
This means that if Nuvei needs to promote the merger and acquisition of Payoneer’s related businesses in China, it will need to obtain the consent of the Chinese regulatory authorities.
Whether the acquisition can be successfully completed depends not only on the negotiation results between the two parties, but also on regulatory policies and other factors.
In the future, the business integration prospects of Nuvei and Payoneer are worthy of attention.
