Cross-border payment giant Pay Anying was acquired, and the industry competition pattern changed

跨境支付平台Payoneer派安盈正式官宣将被Nuvei收购,交易股权价值约27.5亿美元。此次收购不仅涉及公司控制权变化,还与中国市场密切相关,反映了跨境支付行业竞争逻辑的转变。

On June 15, 2026, the cross-border payment platform Payoneer officially announced that it would be acquired by Nuvei.
There were rumors a week ago, and a contract was signed a week later.
Nuvei and Payoneer announced the signing of a final agreement. Nuvei will acquire all issued common shares of Payoneer for US$7.40 per share in cash, with a transaction equity value of approximately US$2.75 billion.
However, the official announcement of the acquisition does not mean that the transaction has been completed. The transaction has been approved by the boards of directors of both parties, but still requires approval from Payoneer shareholders, regulatory approvals and other conventional closing conditions, and is expected to be completed in mid-2027.

The cash price of US$7.40 per share represents a premium of approximately 44% to Payoneer’s closing price on June 8, which makes this transaction highly attractive for Payoneer shareholders to exit.
The announcement also mentioned that Payoneer holds relevant licenses for online payment services in mainland China, which makes this transaction more directly related to China’s cross-border payment market.

From the perspective of transaction logic, Nuvei’s purchase of Payoneer is not just to buy a cross-border collection brand.
Nuvei described the deal as an important step in its evolution into a global financial infrastructure platform.
Upon completion of the transaction, the combined company will provide enterprises with a single partner capability to accept, hold and transfer funds, covering more than 190 countries and regions, and including stablecoin transactions.
Nuvei’s original advantages are more focused on merchant collection, payment processing, risk management and payment settlement, while Payoneer has long-term services for cross-border sellers, freelancers, small and medium-sized enterprises and platform customers, and its capabilities are closer to cross-border collection and payment, multi-currency accounts, platform repayments, B2B capital flows and corporate fund management.
Nuvei is better at solving “how merchants collect money”, while Payoneer complements “how cross-border enterprises collect money, pay, hold funds, manage currencies and arrange settlement”.

After the transaction is completed, the combined company is expected to have annual revenue of approximately US$3 billion, annual payment volume exceeding US$500 billion, and serving more than 2.4 million customers.
Nuvei gains not only the number of customers through Payoneer, but also a wider range of cross-border capital flows, platform customers and corporate transaction scenarios.
In the payment industry, scale will affect network coverage, risk control models, compliance cost allocation and customer service capabilities, and will also increase the space for product cross-selling and business collaboration.
Nuvei is optimistic about Payoneer, which can also be understood as being optimistic about the next stage of growth in cross-border payments and B2B payments.

Payoneer’s acceptance of sale needs to be understood in the context of company growth, profit pressure and capital market pricing.
Payoneer is not without growth. The first quarter financial report of 2026 shows that the company’s first quarter revenue was US$261.6 million, a year-on-year increase of 6%; revenue after excluding interest income increased by 11% year-on-year; B2B transaction volume increased by 44%; the company also raised its guidance for 2026.
However, in addition to growth, the profit structure is also under pressure.
Revenue rose 8% to $1.05 billion in 2025, but net profit fell 40% to $73.2 million due to lower interest income and higher operating expenses.
For cross-border payment companies, transaction volume and revenue growth are still important, but capital markets will also increasingly focus on profit quality, operating costs and compliance investments.
These factors jointly affect the capital market’s pricing of Payoneer.
The cash acquisition plan proposed by Nuvei has strong certainty for Payoneer shareholders.

This announcement also involves the Chinese market.
Payoneer has regulatory presence in major jurisdictions around the world, including holding relevant licenses for online payment services in mainland China and obtaining in-principle authorization as a cross-border payment aggregator in India.
Payoneer has long-term business connections with Chinese cross-border sellers and customers in Greater China. 34% of its revenue in 2025 will come from customers in Greater China.
On April 9, 2025, Payoneer completed the acquisition of PayEco Finance Information Holding Corporation, which also completed the merger and acquisition of the equity of the parent company of Yilian Payment. The total consideration of the transaction was US$76.074 million.

Payoneer holds a license related to online payment services in mainland China, which does not mean that this license has been obtained by Nuvei, nor does it mean that the domestic business will change immediately.
The current transaction is subject only to the signing of a definitive agreement and is still subject to shareholder approval, regulatory approvals and other customary closing conditions.
From the perspective of China’s payment regulatory rules, changes in major shareholders and actual controllers of non-bank payment institutions need to perform corresponding procedures in accordance with the requirements for major event changes and undergo regulatory review.
Therefore, how Payoneer will subsequently undertake the relevant payment licenses in mainland China, whether the control relationship changes, and whether it is necessary to submit an application for changes in major matters, still must be subject to regulatory approval and public disclosure.

Nuvei’s acquisition of Payoneer points to competition in integrated financial capabilities for cross-border payments.
In the past, cross-border payment companies could build advantages based on single-point capabilities, but now they have to compete together in terms of collection, payment, accounts, exchange, risk control, compliance and new scenario capabilities.
Cross-border enterprises not only need to get money back, but also manage different currencies, pay suppliers, arrange platform repayments and fund transfers, handle reconciliations, tax and compliance audits, and maintain service stability under the regulatory frameworks of different countries and regions.

For Chinese cross-border sellers, the real concern is not who sits on the shareholder seat, but whether the account is stable, the funds are safe, and the service is continuous.
What needs attention in the future is not a single price change, but whether the account system, platform repayment channels, cash withdrawal and exchange rules, cross-border payment capabilities, local services, compliance review standards, and relevant licensing arrangements in mainland China remain stable.
From the rumors to the signing of the final agreement, the sale of Pay Anying has entered the substantive transaction stage.
However, this is still a transaction that needs to wait for shareholder and regulatory approval before closing is expected in mid-2027.

The cross-border payment industry has entered a new stage of higher investment, stronger supervision and more complex scenario competition.
The value of this transaction of Pay Anying is not only the US$2.75 billion itself, but also that it reminds the industry that cross-border payments are moving from tool-based services to competition in global fund management capabilities.
In a more complex regulatory and business environment, the ability to serve corporate customers over the long term will determine the position of cross-border payment institutions in the next round of competition.
