Friends who are engaged in cross-border e-commerce, foreign trade, and cross-border freelancing, please pay attention!
Recently, the cross-border payment circle has experienced a major event that has shocked the entire industry. The old cross-border payment giant Payoneer has been officially acquired by the Canadian payment company Nuvei, with a total transaction price of US$2.75 billion.

Many sellers are full of questions: Why did Pai Anying choose to be acquired?
Will daily collection and fund management be affected?
After the merger of the two major platforms, where will the cross-border payment industry go?

1. Overview of the incident

On June 15, Payoneer sent Anying to issue an official announcement announcing that it had reached a final acquisition agreement with Nuvei.

Transaction amount: Nuvei completed the acquisition of Payne for US$2.75 billion.
In fact, as early as June 9, Reuters exposed the news of the negotiations between the two parties in advance. As soon as the news came out, Anying’s stock price soared 24% in a single day. Now that the deal has been officially finalized, it can be regarded as “the boot has landed.”

Transaction progress: At present, the agreement has been signed, but the transaction has not yet been completed. It is expected to be officially completed in mid-2027 and needs to pass shareholder voting and regulatory approvals in multiple countries (including relevant regulatory reviews in China).

User Core Guarantee (Key Points): Pianying officially promises that all original services, customer support, and account functions will remain unchanged.
The daily collection, payment, multi-currency account, cash withdrawal and other functions that everyone uses will not be interrupted, the security of account funds will not be affected, and existing users do not need to panic.

2. Strong complementarity

This merger is not a simple capital transaction, but a highly complementary business integration, accurately filling the shortcomings of both parties, and aiming to create an integrated cross-border business platform with global coverage.

Nuvei’s core advantages: Focusing on global acquiring business, it has outstanding strength in online and offline merchant acquiring and payment gateway fields. It has deep roots in the mainstream markets of North America and Europe and has strong offline transaction processing capabilities.

Payoneer’s core advantages: It has three trump cards: cross-border B2B collection, multi-currency accounts, and global banking network.
Its business covers more than 190 countries and regions, and it has accumulated a large number of cross-border e-commerce sellers, small and medium-sized foreign trade companies, and overseas freelancers. It also has scarce relevant licenses and operating experience in the Chinese market, which is also a sector that Nuvei has been missing.

After the integration is completed, the new platform will open up the six core capabilities of collection, payment, card issuance, fund management, foreign exchange settlement, and embedded finance; with only one system connection, it can cover the complete transaction life cycle, from a freelancer’s first cross-border collection to a multinational enterprise coordinating the collection and payment of funds in hundreds of markets, all can be completed in one stop.

3. Review of Nuvei’s M&A path

Nuvei has never followed the “independent research and development” route, but relied on mergers and acquisitions to rapidly expand its mature business ecosystem. This acquisition of Pian Ying is a key part of its global layout. By sorting out the three core acquisitions, you can see its complete strategy:

2019:
It spent US$889 million to acquire SafeCharge to strengthen its European acquiring + payment gateway capabilities and gain a foothold in the European market.

2023: Spend US$1.3 billion to acquire Paya in the United States to complete the U.S. B2B payment and small and medium-sized enterprise payment tracks.

2026: Acquired Payoneer for US$2.75 billion, gaining access to cross-border B2B collection network + Chinese market resources.

The total value of the three acquisitions is close to US$5 billion, gradually building a full-stack cross-border payment platform spanning North America, Europe, Latin America, and Asia-Pacific; and the addition of Payone directly complements the weakest cross-border collection and Asia-Pacific market sectors in Nuvei’s global territory.

4. Why did Pioneer choose to be acquired?

Many people mistakenly believe that Pai Anying “sells his life only after business difficulties”. This view is completely wrong.
Combining revenue data with the current status of the industry, behind this is the rational choice of medium-sized payment companies:

Strong revenue strength: Pay Anying’s annual revenue in 2025 will exceed US$1 billion, and revenue in the first quarter of 2026 will be US$262 million, which is still growing year-on-year. The company is in a stable profit state and is not forced to sell due to losses.

Independent growth hits the ceiling: Industry involution has intensified, price wars continue to compress profit margins, and Payne’s revenue growth has dropped to 6%.
As a medium-sized payment platform, it is trapped in a “two-pronged attack” dilemma: at the top, industry giants rely on their scale advantages to lower rates, and at the bottom, small payment companies use low prices to snatch small and medium-sized customers. The space for independent development is getting narrower and narrower.

Valuation and industry trends: This valuation of US$2.75 billion has shrunk by about 20% compared to when its SPAC was listed. However, under the general trend of oligopoly consolidation in the global payment industry, actively joining hands with giants and integrating into large-scale ecosystems is the best solution to break through growth bottlenecks.

Simple summary: It’s not that we can’t continue, but that we can’t go far alone. Only by working together and integrating can we develop in the long run.

5. Industry Enlightenment

Paanying’s $2.75 billion sale is not only the story of a company, but also a microcosm of the entire cross-border payment industry.
Based on this incident, we summarize three core trends, which are worthy of reference for all cross-border practitioners:

1. Segmented vertical capabilities are core competitiveness

Seemingly inconspicuous segmented businesses will become the “core puzzle” that giants compete for;

For example, B
In areas such as 2B cross-border collection, foreign exchange management, virtual card issuance, local acquiring in niche countries, and cross-border payment compliance, it takes a long time, high costs, and high risks for giants to independently build. Direct acquisition of mature teams has become the first choice;

The more professional the business, the higher the barriers, and the harder it is to copy, the higher the M&A value will be, which is also a survival opportunity for segmented service providers.

2. The end of the industry, bid farewell to the blooming of a hundred flowers

The global cross-border payment track has bid farewell to the “melee” stage. In the future, a large number of independent new giants will not emerge, the industry will become oligarchic, and the final market will be divided among three or five full-stack global payment platforms;

Almost these leading platforms will improve their business territory through continuous mergers and acquisitions, and mergers and acquisitions will become the norm in the industry in the next few years.

3. A new way out for medium-sized enterprises

For medium-sized payment and cross-border service companies, there is no need to insist on “being the first in the industry alone”;

A safer route is to hold on to one’s core advantages and become an indispensable part of the large-scale payment ecosystem;

Relying on the giants’ channels, costs, and customer resources to amplify their own capabilities, transform from “independent competitors” to “ecological core modules”.

6. Impact on cross-border sellers

Based on this acquisition, the most practical impact on the majority of cross-border e-commerce sellers is sorted out:

Short-term (1-2 years): There will be no changes in daily use. Accounts, collections, cash withdrawals, and rates will remain as they are for the time being, and normal operations will be enough.

Medium and long-term: The platform service capabilities will continue to be upgraded, the efficiency of fund settlement, multi-currency management, and full-link payment will be optimized, and the one-stop service will be more complete.

Industry level: The integration of payment platforms will intensify, market compliance and stability will be further improved. At the same time, competition in small and medium-sized payment tools will become more intense, and sellers will have more cost-effective products to choose from.
