$2.75 billion! Nuvei’s acquisition of Payne is expected to be completed in mid-2027

6月15日消息,加拿大支付企业Nuvei宣布以27.5亿美元收购Payoneer派安盈,交易预计2027年年中完成。此次收购将整合双方能力,在跨境支付行业集中度提升背景下具有重要意义。

According to news on June 15, Canadian payment company Nuvei announced that it will acquire Payoneer (NASDAQ: PAYO) for US$2.75 billion, with a purchase price of US$7.40 per share.
The two parties have reached a final agreement, and the transaction is expected to be completed in mid-2027, but it is still subject to approval by Payoneer shareholders, obtaining necessary regulatory approvals, and satisfying other customary closing conditions.

Panyin is a financial platform focusing on cross-border commerce and global payments.
Judging from its financial report for the first quarter of 2026, Payne achieved revenue of US$262 million, a year-on-year increase of 6.07%.
In 2025, Pay Anying completed the acquisition of Yilian Payment, Curve obtained a Chinese payment license, and became the third foreign payment platform approved to provide online payment services in the Chinese market.

Phil Fayer, Chairman and CEO of Nuvei, said: “The acquisition of Payoneer is a key step for Nuvei to become a global financial infrastructure leader. By integrating the complementary capabilities of both parties, we will be able to provide customers with a more complete platform based on scale, covering collection, payment, card issuance, fund management and foreign exchange capabilities, and supporting embedded financial services.”

It is worth noting that on June 9, boosted by news of acquisition negotiations, Payoneer’s stock price surged 24%.
Market views generally believe that this potential transaction can realize the complementary business advantages of both parties and is an important integration move in the context of increasing concentration in the cross-border payment industry.

Wang Pengbo, chief analyst of Broadcom Consulting, analyzed that the competitive logic of the cross-border payment industry has undergone fundamental changes at this stage. Single collection and exchange settlement channel services can no longer meet market demand. Building a full-link service system that integrates acquisition, settlement, payment, and fund management has become the core direction for leading institutions to compete in the market.

It is reported that this transaction will also enhance Nuvei’s ability to support emerging financial models, including agent commerce, overseas stable currency payments, and platform-native financial services.

In addition, in accordance with my country’s “Regulations on the Supervision and Administration of Non-Bank Payment Institutions”, this merger will trigger a change in the actual controller of the payment institution, which must be strictly reviewed and approved by the central bank.
If the deal is completed, the combined company will have annual revenue of approximately $3 billion, process more than $500 billion in annual payment transactions, and serve more than 2.4 million customers.
This acquisition will not only have a major impact on the development of Nuvei and Payne, but will also set off new waves in the cross-border payment market. The future market structure deserves continued attention.
